1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Quintaro", "we", "us", "our" refers to Quintaro, a professional consulting practice registered in Singapore, with offices at 80 Raffles Place, #36-01, Singapore 048624.
  • "You", "Client", "User" refers to any individual or organisation accessing this website or engaging Quintaro's services.
  • "Services" refers to the consulting engagements described on this website, including the Quiet Counsel Session, Stewardship Review, and Pavilion Retreat Programme.
  • "Agreement" refers to the combination of these Terms and Conditions and any written engagement letter or proposal confirmed in relation to a specific engagement.
  • "Written Materials" refers to any documents, reflections, summaries, or reports produced by Quintaro in the course of an engagement.
  • "Website" refers to this site and all pages contained within it.

2. Acceptance of Terms

By using this Website or engaging Quintaro's Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use this Website or engage our Services.

Our Services are intended for business professionals and organisations. By accepting these terms, you confirm that you are at least 18 years of age and that, if entering into an engagement on behalf of an organisation, you have the authority to bind that organisation to these terms.

3. Service Description

Quintaro provides facilitated consulting engagements for founders, managing directors, family businesses, and senior teams. Our current service offerings are:

  • Quiet Counsel Session (SGD 175): A single-day engagement for individual founders or managing directors seeking external dialogue on a current decision.
  • Stewardship Review (SGD 690): A six-week engagement for family-owned and founder-led businesses addressing questions of governance and long-horizon planning.
  • Pavilion Retreat Programme (SGD 1,310): A three-day off-site retreat programme for senior teams of six to twelve people.

Services are primarily delivered in Singapore. We may, at our discretion, accommodate engagements in other locations, which may involve additional costs agreed in advance.

We reserve the right to decline any enquiry or engagement at our discretion, without being required to provide a reason.

4. User Responsibilities

When using this Website or engaging with our Services, you agree to:

  • Provide accurate and complete information in any contact form or engagement communication.
  • Use this Website only for lawful purposes and in a manner that does not infringe the rights of others.
  • Treat all written materials received from Quintaro with appropriate discretion.
  • Not reproduce, distribute, or publish any written materials produced by Quintaro without our prior written consent.
  • Not use this Website or our Services to gather competitive intelligence about our practice or to assist in a competitive offering.

5. Intellectual Property

All content on this Website — including text, design elements, and methodology descriptions — is the intellectual property of Quintaro and is protected under Singapore's Copyright Act 2021 and applicable international conventions.

Written materials produced for a specific client engagement are prepared for that client's internal use. Clients may use engagement materials for their own deliberations and planning. They may not be shared publicly, published, or attributed to Quintaro in external communications without our written consent.

Nothing in these terms transfers intellectual property rights from Quintaro to the Client. We grant a limited, non-exclusive, non-transferable licence to use Website content for personal, non-commercial reference purposes only.

6. Fees & Payment

All fees are stated in Singapore Dollars (SGD) and are inclusive of applicable taxes unless otherwise stated in the engagement letter. Payment terms are as follows:

  • A deposit of 50% of the engagement fee is due upon confirmation of the engagement.
  • The remaining balance is due within 14 days of the completion of the engagement.
  • Payment may be made by bank transfer to account details provided in the engagement letter.

Cancellation: If a confirmed engagement is cancelled by the Client more than 7 days before the scheduled start date, the deposit is refunded in full. If cancellation occurs within 7 days of the scheduled start, the deposit is non-refundable. If an engagement is cancelled by Quintaro, a full refund of any amounts paid will be provided.

Quintaro reserves the right to revise its fees from time to time. Any fee quoted in an engagement letter will remain valid for the duration of that engagement.

7. Engagement Terms

Each engagement is governed by these Terms and Conditions together with a written engagement letter setting out the specific scope, timeline, and deliverables. In the event of conflict, the engagement letter takes precedence.

Quintaro will make reasonable efforts to deliver engagements within the agreed timeline. If circumstances outside our reasonable control cause a delay, we will notify the Client promptly and agree a revised arrangement.

Scope changes requested by the Client after an engagement has commenced will be discussed and, if agreed, reflected in a written amendment to the engagement letter. Additional fees may apply.

8. Confidentiality

Quintaro treats all information shared by clients in the course of an engagement as confidential. We will not disclose client-specific information to third parties without written consent, except where required by law.

Similarly, any information shared with the Client about Quintaro's methods, approaches, or other client situations (in anonymised or illustrative form) should be treated as confidential and not disclosed to third parties.

These confidentiality obligations survive the termination of any engagement.

9. Disclaimers

Quintaro's Services are offered as a facilitated dialogue and structured reflection process. They do not constitute legal, financial, investment, medical, or regulatory advice. Clients are responsible for their own decisions and should seek appropriate specialist advice where needed.

This Website and its content are provided on an "as is" basis. While we take care to ensure information is accurate, we make no representations about its completeness, currency, or fitness for any particular purpose.

Quintaro does not guarantee any particular outcome from an engagement. The value of the Services depends in part on the Client's engagement and openness during the process.

10. Limitation of Liability

To the fullest extent permitted by Singapore law, Quintaro's total liability to a Client in connection with any engagement shall not exceed the total fees paid by that Client for the relevant engagement.

Quintaro shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of business, or reputational harm, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded under applicable Singapore law.

11. Indemnification

You agree to indemnify and hold harmless Quintaro, its principals, and associates from any claims, losses, or damages arising from your breach of these Terms, your misuse of the Website, or any material you provide to us that infringes a third party's rights.

12. Termination

Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy that breach within 14 days of receiving written notice.

Quintaro reserves the right to terminate an engagement where continuing it would, in our reasonable judgment, not serve the Client's interests or would be inappropriate for professional reasons.

Upon termination, the Client will be invoiced for work completed to the date of termination on a pro-rata basis. The confidentiality and intellectual property provisions of these Terms survive termination.

13. Dispute Resolution

These Terms are governed by the laws of Singapore. In the event of a dispute, both parties agree to first attempt resolution through good-faith discussions. If a dispute cannot be resolved informally within 30 days, either party may refer the matter to mediation through the Singapore Mediation Centre before pursuing any other legal proceedings.

The Courts of Singapore shall have non-exclusive jurisdiction over any dispute that proceeds to litigation.

14. General Provisions

These Terms, together with any engagement letter, constitute the entire agreement between Quintaro and the Client and supersede all prior discussions, representations, or agreements.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Failure by either party to enforce a right under these Terms does not constitute a waiver of that right. Quintaro may not assign its obligations under these Terms without the Client's prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. The date at the top of this page will reflect when they were last updated. Continued use of the Website after any changes constitutes acceptance of the revised Terms. For active engagements, any material changes will be communicated by email.
